By accessing or using NextBoss.ai and any related bots, apps, or services (collectively, the “Platform”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, do not use the Platform. Nothing on the Platform is legal, financial, tax, valuation, or investment advice.
NextBoss.ai is an AI-powered marketplace that helps connect buyers and sellers of micro, small, and medium enterprises (MSMEs) in Singapore through a credit-based, pay-per-lead model. The Platform may also include a “Launchpad” area where users can post concepts, projects, or businesses seeking expressions of interest. We are not a broker, agent, placement agent, underwriter, financial adviser, legal adviser, escrow provider, custodian, fund manager, or party to any transaction between users.

The Platform (including AI-generated summaries, extractions, and recommendations) is provided for information only and does not constitute legal, financial, tax, valuation, accounting, technical, or other professional advice. You must conduct your own due diligence and seek independent professional advice before making decisions.
We do not guarantee the accuracy, completeness, legality, ownership, quality, safety, fitness for purpose, or availability of any listing or user. NextBoss.ai is not a party to any transaction and has no control over, and assumes no responsibility for, user actions or omissions.
The Launchpad is a user-generated information forum where issuers may describe projects or businesses and where potential supporters may express interest. NextBoss.ai does not solicit, endorse, structure, negotiate, arrange, underwrite, intermediate, or effect any offers, invitations, or transactions in securities or other investments. Nothing on the Launchpad is an offer, invitation to offer, recommendation, or inducement to buy or sell any security or to engage in any investment activity.
Unless expressly stated otherwise, NextBoss.ai does not hold a capital markets services licence or a financial adviser’s licence in Singapore, and does not conduct any activity that would require such a licence under the Securities and Futures Act 2001 (“SFA”) or the Financial Advisers Act 2001 (“FAA”). You must not use the Platform in a manner that would cause us to be treated as carrying on any regulated activity or providing any financial advisory service.
We may decline, suspend, or remove any content or account to manage legal or regulatory risk, without providing reasons.
Investments in private businesses are high risk and illiquid. You may lose part or all of your capital, may not receive dividends, and may not be able to sell your interests. Past performance is not indicative of future results. Forward-looking statements involve known and unknown risks and uncertainties and should not be relied upon.
The Platform may integrate with third-party services (e.g., Telegram, payment processors, wallets). Your use of such services is governed by their terms and privacy policies. We are not responsible for third-party actions, outages, fees, or data practices.
You retain ownership of content you submit but grant NextBoss.ai a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute such content solely to operate and improve the Platform. You represent and warrant you have all rights necessary to grant this license and that your content complies with law.
If you believe content infringes your rights, please submit your request with details via our contact form. We may remove content at our discretion.
All Platform software, design, text, graphics, logos, and AI tools are owned by NextBoss.ai or its licensors and protected by law. You may not copy, modify, distribute, or create derivative works without prior written consent.
The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Platform will be uninterrupted, secure, error-free, or free of harmful components.
To the fullest extent permitted by law, NextBoss.ai and its owners, directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profit, revenue, goodwill, data, or business opportunities.
In all cases, our aggregate liability for any claim arising out of or relating to the Platform shall be limited to the lower of (a) SGD 100 or (b) the total amount you paid to us for credits or fees in the 12 months immediately preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless NextBoss.ai and its affiliates from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to your content, your use of the Platform, your transactions with other users, or your violation of these Terms or applicable law.
We shall not be liable for any delay or failure to perform due to events beyond our reasonable control, including acts of God, labor disputes, internet or utility failures, governmental actions, war, epidemics, or third-party service outages.
We may modify the Platform or these Terms at any time. Material changes will be posted on the Platform (or via notice in-app/bot). Your continued use after changes become effective constitutes acceptance.
These Terms are governed by the laws of Singapore. The parties shall first attempt to resolve disputes informally. If unresolved within 30 days, either party may refer the dispute to mediation administered by the Singapore Mediation Centre. If still unresolved, the courts of Singapore shall have exclusive jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any competent court.
